I’m sure you understand how important it is that invoices are paid promptly. That’s why I use a service called GoCardless to process Direct Debit payments. This will save you the hassle of manually paying each month. You’ll be notified of upcoming payments, and you can cancel them whenever you want.

I provide the services in this agreement for a recurring payment due on the 25th day of each month, which is the monthly retainer fee for services provided during that month.

It takes a little time to set up the initial direct debit so, for the very first payment, authorisation to set up the direct debit will need to be submitted by the 10th day of the month. This should ensure it's processed in time for your first payment on the 25th day of the month.

Client Agreement and Terms of Service

This is an agreement between “me”, Nick Thompson, and “you”, the client.


SUMMARY
The purpose of this agreement is to manage expectations and provide a solid overview of how we should work together. I have no desire to trick you into agreeing with something that you might later regret. What I do want is what’s best for both parties, now and in the future.


SO IN SHORT:
You are hiring Nick Thompson (“me”) to provide digital marketing support.

Some of the services could include (but are not limited to):

👉 Optimising your social media channels and online presence.

👉 Designing and sharing competitions and giveaways.

👉 Collecting relevant customer information to build your mailing list.

👉 Using paid advertising to promote a special offer.

For an agreed monthly retainer fee.


WHAT ARE WE AGREEING TO?
You have the authority to enter into this contract on behalf of yourself, your company or your organisation. You’ll provide me with the necessary information, assets and account privileges in a timely manner. You also agree to stick to the payment schedule set out at the end of this agreement.

I have the experience and ability to do everything I’ve agreed with you and I’ll do it all in a professional and timely manner. I’ll endeavour to meet every deadline that’s set and on top of that I’ll maintain the confidentiality of everything you give me.


OUR RELATIONSHIP
I am an independent contractor and not an employee. This agreement does not create a partnership or joint venture between us, and is exclusively a contract for service.

I work remotely and will always endeavour to reply to any questions or queries in a timely manner. If I’m unavailable due to vacation or other foreseen events, every effort will be made to provide reasonable notice.

Neither party may assign this agreement without the prior written consent of the other party, except that I may occasionally subcontract or delegate portions of the services; provided, however, that in no case shall you be liable to any party other than me, or for any amount in excess of the agreed fee.


COPYRIGHT
You guarantee that all elements of text, images or other artwork you provide are either owned by your good selves, or that you’ve permission to use them. When you provide text, images or other artwork to me, you agree to protect me from any claim by a third party that I’m using their intellectual property.

I guarantee that all elements of the work I deliver to you are either owned by me or I’ve obtained permission to provide them to you. When I provide text, images or other artwork to you, I agree to protect you from any claim by a third party that you’re using their intellectual property.

Occasionally, I publish case studies for the purposes of publicising my services. I will always ask permission before publishing testimonials that use campaign and sales data. You agree that you will make no monetary or other claim against me for the use of this information.

ADDITIONAL WORK
The agreed price is based on the number of hours that I estimate I’ll need to accomplish the requested services. If you want to extend the scope of this project, that won’t be a problem, as I can provide a separate estimate for additional work.


LEGAL STUFF
I’ll carry out our work in accordance with good industry practice and at the standard expected from a suitably qualified person with relevant experience.

That said, I can’t guarantee that my work will be error-free and so I can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised me of them.

Your liability to me will also be limited to the amount of fees payable under this contract and you won’t be liable to me or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if I’ve advised you of them.

Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.


THE DOTTED LINE
We both agree that we’ll adhere to all relevant laws and regulations in relation to our activities under this agreement and not cause the other to breach any relevant laws or regulations.

This agreement stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.

Although the language is simple, the intentions are serious and this contract is a legal document to be governed by and construed in accordance with the laws of England.

By making payment, you agree to the terms of this agreement.
